SEC Open Meeting Announced – LexBlog

The Securities and Exchange Commission announced an open meeting to be held on November 2, 2022 to discuss several matters, some proxy related.

The SEC will consider whether to adopt new rules and form amendments intended to increase transparency in proxy vote reporting for registered investment companies.  On September 29, 2021, the SEC had announced proposed amendments to Form N-PX that would expand the information that registered funds must disclose about their proxy votes.  The SEC’s proposal would also impose Form N-PX reporting requirements on Form 13F filers—i.e., “institutional investment managers”—with respect to the managers’ proxy voting records on say-on-pay proposals for securities over which those managers exercise voting power.  At the open meeting, the SEC will also consider whether to adopt a new rule and form amendments for this purpose.

The SEC will also consider whether to propose rules and form amendments regarding pricing and disclosure requirements for open-end management investment companies.
