试论合资、合作开发房地产合同纠纷违约救济——实践中的典型争议

笔者团队多年从事房地产行业法律服务,经办了多起“合资、合作开发房地产合同纠纷”,就其中典型疑难争议,在此尝试作简要分析。本文中,笔者从利润分配争议出发,首先探讨了股东间协议与《公司法》强制性规定之间的冲突;又由于利润分配争议同时系合作合同争议,可作为合作合同当事人之间违约纠纷处理,笔者进而就实践中的违约责任调整,选择违约主体时可能面临的担保问题、法人人格否认理论适用问题等提出了意见。最后,笔者总结实践经验,针对“合资、合作开发房地产合同纠纷”简要提出实操建议,以期分享交流。
